Statement of Work - On Site Installation
1. Scope and Governance
This Statement of Work ("SOW") applies exclusively when Care : On-site Installation services are included in the corresponding Order Form. If the Order Form does not include installation services, this SOW is not applicable.
This SOW is governed by the Order Form and the Agreement (available at Terms and Conditions) of Butlr Technologies, Inc.. The Agreement covers warranty, client responsibilities, service exclusions, and other legal provisions. In the event of a conflict between this SOW and the Agreement, the Agreement shall take precedence, unless explicitly stated otherwise in the Order Form.
2. Installation Date and Scheduling
- The Customer must collaboratively work with Company to create a detailed room access schedule at least two weeks prior to the installation date, with 45-minute blocks allocated for each room, and time in the beginning of the project for on-site prep.
- Installations are generally conducted over a 4-day work week to accommodate the team’s travel schedule, allowing one day for arrival and departure.
3. Project Goals and Objectives
3.1 Goals
- Successfully install and configure the Product as specified in the Order Form.
- Ensure all hardware components are securely mounted and configured for wireless connectivity.
- Deliver a fully operational setup that aligns with the agreed-upon project timeline.
3.2 Objectives
- Complete physical installation within the defined timeframe.
- Confirm initial system operability with basic configuration and connectivity.
- Adhere to safety and quality standards to ensure a stable installation.
4. Scope of Work
4.1 Overview
The Company will perform the physical installation, connection, and basic configuration of the occupancy detection system as specified in the Order Form. This includes
- Mounting and securely installing sensors and Hives.
- Connecting hardware components for wireless connectivity.
- Performing basic functionality testing to confirm operability.
4.2 Out-of-Scope
Tasks excluded from this Professional Service include:
- Electrical work, including high or low voltage wiring.
- Structural modifications or construction.
- Network configuration, including firewall or security setup.
- Wall patching, painting, or cosmetic repairs.
- Extensive custom software integrations.
4.3 Changes in Scope
- Any changes to the agreed-upon scope of work must be documented in a change order mutually signed by both parties (each, a “Change Order”).

- Adjustments to pricing, timeline, or other terms.
4.4 Service Exclusions
Unless explicitly stated in the applicable SOW or Order Form, Company does not provide:
- Network configuration, including firewall or security setup.
- Wall patching, painting, or cosmetic repairs post-equipment removal.
- Repairs or servicing for equipment not supplied by the Company.
- Environmental or structural modifications to accommodate equipment.
- Electrical work, including high or low voltage wiring. The customer is responsible for ensuring electrical readiness and compliance with applicable regulations.
5. Responsibilities
5.1 Company Responsibilities
- Provide the necessary hardware, tools, and personnel for the installation.
- Perform all tasks outlined in the Scope of Work section of this SOW.
- Ensure proper configuration and operability of installed devices.
5.2 Customer Responsibilities
Professional Services are conditioned upon Customer
- Ensuring uninterrupted site access and availability of utilities (e.g., power, internet).
- Confirming site readiness, including identification of power locations for Hives.
- Facilitating movement of furniture or equipment as necessary for installation.
- Providing a dedicated workspace for the Company to stage equipment, store tools, and perform preparatory tasks.
- Coordinating any required site access including but not limited to providing any training required for site access, or arranging security escorts.

- Provide a clear, detailed schedule with room availability allocated in minimum 45-minute blocks per room.
- Submit the schedule to the Company at least 5 business days before the service date.
- Installations are generally conducted over a 4-day work week to accommodate the team’s travel schedule, allowing one day each for arrival and departure.
- Allow for on-site preparation time at the start of the project to receive and stage hardware before beginning installations.

- Movement of furniture or equipment must be coordinated prior to the installation date.

Compliance with Schedule
- A failure to satisfy the requirement set forth in Section 5.2,including scheduled access and readiness requirements, may result in additional charges or rescheduling fees.
By adhering to these responsibilities, the Customer ensures efficient service delivery and minimizes disruptions to facility operations and resident activities.
6. Risk Management
6.1 Identified Risks
- Delays in Site Readiness: Potential for delays if the site is not ready for installation as scheduled.
- Environmental Conditions: Issues related to temperature, humidity, or other factors that may impact adhesive or equipment stability.
- Access Restrictions: Unforeseen site access issues delaying services.
6.2 Mitigation Strategies
- Confirm site readiness at least one week before installation.
- Maintain open communication with the Customer to address emerging issues promptly.
- Have backup solutions for mounting equipment, such as switching from adhesive to mechanical fasteners.
7. Work Breakdown Structure (WBS)
7.1 Project Planning and Preparation
- Review project requirements and site survey
- Schedule installation and mobilize resources
- Coordinate with building management for access
7.2 Hardware Installation and Configuration
- Unpack, inspect, and mount hardware
- Connect devices to power and network
- Configure device settings and network connectivity
- Pair devices and create system zones
7.3 System Testing and Commissioning
- Test device functionality and connectivity
- Calibrate system for optimal performance
- Verify system operability
7.4 Project Closeout
- Document installation details and provide final report
- Clean up work area and demobilize resources
8. Schedule Constraints
- Installations are generally conducted over a 4-day work week to accommodate the team’s travel schedule, allowing one day for arrival and departure.
- Any schedule changes or delays caused by the Customer (e.g., room access issues) may result in adjusted timelines and additional charges.
9. Pricing and Payment Terms
Pricing for Professional Services assumes adherence to the room access schedule provided by the Customer. Delays or rescheduling due to access issues may result in additional charges.
Payment terms are governed by the Agreement.
